Article 1 - Purpose

These General Terms of Sale (GTS) govern the contractual relationship between GLOBAL TRADE SASU and its clients in the context of advisory services for structuring and financial engineering.

Article 2 - Scope

These GTS apply to any order for consulting services placed with GLOBAL TRADE SASU. Any order implies unconditional acceptance of these GTS.

Article 4 - Letter of Engagement

Each assignment is the subject of a prior letter of engagement precisely defining the scope of the intervention, the expected objectives and deliverables, the provisional schedule, the fees and payment terms, and confidentiality obligations.

Article 5 - Fees

Fees are agreed by mutual consent in the letter of engagement. They may be set as a fixed fee or billed on a time-spent basis, depending on the nature of the service. Fees are exclusive of taxes and are subject to VAT at the applicable rate.

Article 6 - Payment Terms

Unless otherwise provided in the letter of engagement, fees are payable according to the following schedule: 30% upon signing, 40% at mid-term, 30% upon delivery of final deliverables. Payment is made by bank transfer or via our secure payment platform within 30 days following invoicing.

Article 7 - Late Payment

Any late payment will result in the application of default interest calculated at three times the legal interest rate, as well as a fixed compensation for recovery costs of 40 euros.

Article 8 - Confidentiality

GLOBAL TRADE SASU undertakes to keep strictly confidential all information communicated by the client in the context of the assignment. This confidentiality obligation continues after the end of the assignment.

Article 9 - Liability

GLOBAL TRADE SASU undertakes to exercise all due care and diligence in the performance of its assignments. Its liability is an obligation of means and not of result. In any event, liability is limited to the amount of the fees received for the assignment concerned.

Article 10 - Termination

Each party may terminate the assignment at any time, subject to 15 days' notice. In the event of termination, fees corresponding to services already performed remain payable.

Article 11 - Intellectual Property

Deliverables produced in the context of the assignment become the property of the client after full payment of the fees.

Article 12 - Applicable Law

These GTS are governed by French law. Any dispute relating to their interpretation or performance will be submitted to the competent courts of Paris.
